Terms of Service & Sale

Effective Date: February 19, 2026

Section 1: Introduction & Platform Definitions

1.1 The Agreement. These Terms of Service & Sale (“Terms” or “TOS”) govern your use of the Drill Dragon LLC (“Drill Dragon”) E-Commerce Site and all commercial transactions with Drill Dragon, including the purchase of memberships, accessories, or merchandise, whether initiated on the E-Commerce Site or through the Members Portal.

1.2 Platform Delineation. Consistent with our Privacy Policy, Drill Dragon maintains two distinct platforms with separate account credentials:

The E-Commerce Site: Refers to DrillDragon.com, our public-facing platform used for brand information and initial commercial transactions, including the commencement of a Membership and the purchase of merchandise or accessories.

The Training Platform: Refers to the mobile application and the secure, web-based Members Portal. The Training Platform is used to connect to proprietary sensors and track training results. Once a Membership is established, ongoing subscription management and the purchase of additional memberships are conducted through the Members Portal within the Training Platform.

1.3 Account Segregation and Dual Governance. User accounts and credentials for the E-Commerce Site are entirely separate from accounts and credentials for the Training Platform.

  • Commercial Governance (TOS). Your use of the E-Commerce Site and all financial transactions (including membership purchases and hardware sales) are governed exclusively by these Terms of Service & Sale.

  • Functional Governance (EULA). Access to and use of the Training Platform, the mobile application, and proprietary sensor firmware requires separate acceptance of the End User License Agreement (EULA). The EULA specifically governs the software license and technical use of the Training Platform, while the TOS governs the underlying commercial agreement and sale.

  • Mandatory Compliance. To utilize the full Drill Dragon system, you must remain in compliance with both these Terms and the EULA. A breach of one may, at Drill Dragon’s discretion, result in the suspension of access across both platforms.

1.4 Territorial Restrictions and Eligibility

  • Approved Jurisdictions Only. The Service and Hardware are intended for purchase and use strictly and exclusively by residents of jurisdictions officially approved by Drill Dragon (“Approved Jurisdictions”). Currently, the only Approved Jurisdiction is the United States of America.

  • Representation of Residency. By using the Service, you represent and warrant that you are a resident of an Approved Jurisdiction.

  • Prohibition of Unauthorized Use. Accessing or attempting to access the Training Platform from outside of an Approved Jurisdiction is a violation of these Terms and subject to immediate Termination or Cancellation. Drill Dragon makes no representation that the Service is appropriate, compliant with local laws, or available for use in any other jurisdiction.

  • Enforcement & Technical Measures. Drill Dragon reserves the right to employ technical measures to enforce these restrictions. Enforcement measures include, but are not limited to:

    • Restricting App Store downloads based on regional account settings.

    • Requiring a valid billing address and payment method from an Approved Jurisdiction.

    • Restricting shipping of Hardware and Wear Items to addresses within Approved Jurisdictions.

    • Utilizing geofencing or IP-blocking to prevent access from unauthorized locations.

Section 2: Memberships and Equipment

2.1 Drill Dragon Memberships. Drill Dragon is a membership-based service. Use of the Drill Dragon mobile application and access to any athlete-related training or performance data and statistics require an active Drill Dragon Membership.

  • Membership Features: Drill Dragon may offer multiple memberships and membership bundles (collectively, a “Membership”). The specific features, data access levels, and hardware included with a Membership are defined by the specific Membership selected at the time of purchase or renewal.

  • Billing: Memberships are charged on a recurring basis (e.g., monthly or annually) to the payment method provided at the time of initial purchase via the E-Commerce Site or as updated within the Members Portal. To ensure an uninterrupted training history and continued sensor functionality, the Membership must remain in an "Active" status.

2.2 Membership Hardware. Most Drill Dragon Memberships include the provision of proprietary electronic training equipment ("Hardware" or "Hardware Kits") required to utilize the Training Platform.

  • Inclusions: The specific Hardware components included with your Membership will be detailed at the time of purchase or upgrade.

  • Functionality & Support: Drill Dragon Hardware requires an active Membership that supports that specific Hardware. Switching Memberships does not ensure support of previously provided Hardware under the new Membership.

  • Software Integration: While you possess the physical training Hardware, all software and firmware embedded within the hardware are licensed, not sold, and remain the intellectual property of Drill Dragon.

2.3 Account Roles and Assignment.

  • Account Owners: The primary account holder who maintains the Membership Account, manages billing, and purchases Memberships.

  • Athlete Members: The individual athlete users who utilize the Training Platform. Each Athlete Member will have their own unique login credentials, training and performance records, and must have their own unique, active Membership; Memberships may not be shared between multiple Athlete Members.

  • Management & Assignment: The Account Owner is responsible for creating the initial Athlete Member profile(s) and assigning purchased Memberships to specific Athlete Members within the Members Portal.

  • Under-13 Requirements: If an Athlete Member is under the age of 13, verified parental consent is required in accordance with our Privacy Policy before the Athlete Member can access the Training Platform or provide any personal information.

Section 3: Returns, Refunds, and Membership Assurance

3.1 Membership Evaluation Period and Refund Policy.

3.1.1 Annual Membership Billing.

Drill Dragon Memberships are billed annually in advance unless otherwise explicitly stated at the time of purchase. By purchasing a Membership that includes Hardware, you acknowledge that the Membership fee reflects bundled access to the Training Platform and the provision of proprietary Hardware components.

3.1.2 30-Day Evaluation Period.

Drill Dragon offers a thirty (30) day evaluation period solely for the first Membership purchase made by an Account Owner that includes Hardware.

The evaluation period begins on the date the shipping carrier confirms delivery of the applicable Hardware to the address provided by the Account Owner, as reflected in carrier tracking records (“Confirmed Delivery Date”).

Delivery shall be determined solely by carrier confirmation. Drill Dragon is not responsible for packages that are confirmed delivered by the carrier.

Claims of non-receipt must be reported within seven (7) days of the Confirmed Delivery Date.

Refund requests must be submitted to Drill Dragon Support within thirty (30) days of the Confirmed Delivery Date.

Cancellation of a Membership alone does not entitle you to a refund. Refund eligibility is contingent upon compliance with the return requirements described below.

3.1.3 Return of Required Hardware Components.

To qualify for a refund of the initial Membership fee:

- All required core hardware components must be returned.

- Drill Dragon will issue a prepaid return shipping label upon approval of a timely refund request.  Drill Dragon may decline to issue a return label if the refund request is untimely or otherwise does not comply with this Section.

- Required components must be shipped within seven (7) days of issuance of the return label.

- Return shipping costs will be deducted from the refund amount.

For purposes of this Section:

- Core Hardware Components include proprietary electronic devices and other components designated by Drill Dragon as required return items.

- Drill Dragon reserves the right to specify which components must be returned for each Membership or Hardware Kit.

Failure to return required components within the specified timeframe voids refund eligibility.

3.1.4 Inspection and Condition Requirements.

All returned components are subject to inspection and verification by Drill Dragon.

Refunds are contingent upon returned required components being:

- Complete,

- In good working condition, and

- Free from excessive damage beyond normal installation and ordinary training use.

Drill Dragon reserves the right to reduce or deny a refund if:

- Required components are missing,

- Electronic devices are non-functional due to misuse or damage,

- Components are materially altered,

- Items are returned in a condition inconsistent with Approved Use.

3.1.5 Consumable and Non-Returnable Components.

Certain products or Hardware Kits may include components that are:

- Consumable in nature,

- Not reasonably resalable once opened or used, or

- Impractical to return due to size or shipping constraints.

Drill Dragon reserves the right to designate such components as non-returnable.  Drill Dragon is not obligated to accept the return of components designated as non-returnable.

If such components are opened, used, damaged, or not returned (where return is optional), Drill Dragon may deduct the applicable replacement cost from the refund amount.

Drill Dragon may update component classifications as new products are introduced.

3.1.6 Replacement Cost Deductions.

If any required component is missing, damaged beyond Approved Use, or non-functional upon inspection, Drill Dragon may deduct the applicable replacement cost from the refund.

Where a replacement component is available for individual purchase through the E-Commerce Site, the applicable published retail price at the time of inspection will be used as the replacement cost. For components not sold individually, Drill Dragon may determine a reasonable replacement value based on the full replacement cost of the affected component.

No additional “restocking fee” is applied. Any refund reduction reflects replacement cost and return shipping charges only.

3.1.7 Exclusions and Upgrade Policy

The evaluation period:

Applies only to the first Membership purchase made by an Account Owner that includes Hardware.

Does not apply to Membership renewals.

Does not apply to Membership upgrades, bundle conversions, add-on Hardware purchases, additional device purchases, or promotional upgrade offers unless expressly stated in writing at the time of purchase.

Does not apply to standalone merchandise or accessory purchases (see Section 3.3).

Hardware provided in connection with an upgrade or bundle conversion is non-returnable except in cases of verified defect covered under Membership Assurance.

After thirty (30) days from the Confirmed Delivery Date, Membership fees are non-refundable and Hardware is non-returnable.

3.2 Membership Assurance (Electronics Warranty). "Membership Assurance" is a premium hardware benefit. Drill Dragon will repair or replace proprietary electronics (sensors) that fail under intended use for as long as there is an active Membership associated with those specific sensors.

  • The Coverage: This provides peace of mind that your proprietary electronics are protected throughout the life of your active Membership.

  • Wear Items and Consumables: Membership Assurance does not cover non-electronic components, including but not limited to mounting hardware, straps, cradles, or cases ("Wear Items" or "Consumables"). These components are designed to be used in training environments and will naturally wear over time; replacements are available for purchase via the E-Commerce Site.

  • Environmental Exposure: Drill Dragon sensors are engineered to be weather-resistant for typical field use; however, they are not waterproof. Coverage does not extend to damage caused by submersion, prolonged exposure to precipitation, or being left outdoors in the elements for extended periods.

  • Exclusions and Wall Ball Policy: This warranty does not apply to sensors that have been lost, stolen, or damaged due to misuse, neglect, or physical impact outside of the intended placement or intended use.

    • Vertical Surface Mounting: Mounting a sensor directly onto a brick or similar solid vertical surface for wall ball training places the Hardware at high risk of direct ball impact. You acknowledge that such mounting is done at your sole risk and responsibility. Any Hardware damage resulting from a direct ball strike while mounted to a wall or similar solid surface is strictly excluded from coverage.

    • Rebounder Mounting: Damage is typically avoided when a sensor is mounted to a rebounder frame behind the strike surface. Such setups are included in the warranty coverage of the sensor.

  • Verification & Inspection: Drill Dragon reserves the right to require proof of failure or the return of the damaged electronics for inspection. At Drill Dragon’s sole discretion, we will assess the damage and determine whether in accordance with intended use to decide if a replacement is covered under Membership Assurance.

  • Disclaimer: Except as expressly stated in this Electronics Warranty, Drill Dragon provides all Hardware and services "as is." To the maximum extent permitted by law, Drill Dragon disclaims all other warranties, whether express or implied, including any warranties of merchantability or fitness for a particular purpose.

3.3 Merchandise and Accessories. One-time purchases of branded merchandise (e.g., apparel) or standalone accessories are subject to the following:

  • Returns: Items must be returned within 30 days of delivery in new, unworn, and unwashed condition with original tags and packaging.

  • Refunds: Refunds for merchandise will be issued to the original payment method, minus any shipping and handling fees.

Section 4: Shipping and Delivery

4.1 Shipping and Risk of Loss. The risk of loss and title for all physical products purchased pass to you upon our delivery of the items to the shipping carrier. Drill Dragon is not responsible for Products stolen, lost, or damaged after the carrier has confirmed delivery to the address provided by the Account Owner.

4.2 Order Processing and Delivery. Hardware and accessories typically process within 1–2 business days; merchandise and apparel require 3–7 business days.

  • Estimates: Most U.S. orders arrive within 3–7 business days after shipment. All delivery dates are estimates and are not guaranteed. Drill Dragon is not liable for delays caused by carriers, high-demand periods, or weather.

  • Partial Shipments: Drill Dragon reserves the right to ship items separately within a single order.

4.3 Address Responsibility. You are responsible for providing accurate and complete shipping information. Drill Dragon is not responsible for shipment delays, delivery failures, or losses resulting from incorrect addresses. Any fees associated with the reshipment of returned packages are your responsibility.

4.4 Damaged or Missing Shipments. If a Product arrives damaged or a confirmed shipment is missing, you must contact Drill Dragon Support within 7 days of the delivery date (or expected delivery date) to initiate a carrier investigation.  You agree to cooperate with any carrier investigation.

4.5 Membership Assurance Shipping. While Membership Assurance provides for the replacement of qualifying proprietary electronics, you are responsible for any applicable shipping and handling fees for the delivery of replacement sensors.

Section 5: Service Definitions and System Requirements

5.1 Defining the Service. The "Drill Dragon Service" (the “Service”) encompasses the E-Commerce Site and the Training Platform, which includes, but is not limited to:

  • The mobile application and web-based Members Portal.

  • All system functionality, including communication protocols with proprietary electronics.

  • The collection, processing, and storage of system data, user-provided data, and derived performance analytics.

  • All platform-driven communications, updates, and digital content provided by Drill Dragon.

5.2 System Requirements. Proper operation of the Service is dependent on specific user-owned hardware and third-party services.

  • Compatibility: Use of the Service requires a compatible mobile device, internet access, and specific third-party software (e.g., current iOS or Android operating systems).

  • User Responsibility: You are solely responsible for maintaining a device and software environment that meets the technical specifications required to communicate with Drill Dragon Hardware.

  • Updates: Drill Dragon may periodically push mandatory updates to the mobile application or hardware firmware. Failure to install these updates may result in a loss of functionality, data synchronization errors, or a lapse in the Electronics Warranty.

5.3 Health and Safety Disclaimer. Athletics and athletic training are inherently strenuous and involve risks of serious injury or death.

  • Fitness to Train: You represent that any Athlete Member using the Service is in good physical health and has been cleared by a medical professional to engage in the specific athletic activities facilitated by the Service.

  • User Responsibility for Drills: The Service provides training content and drills for various skill levels. You are solely responsible for determining whether any specific drill, workout, or training volume provided by the Service is appropriate for an Athlete Member. This determination should consider the athlete's age, skill level, physical limitations, and current state of fatigue or need for rest.

  • Training Environment: You are responsible for ensuring the training location is appropriate, safe, and free of hazards. This includes, but is not limited to, ensuring adequate space, proper lighting, and appropriate surface conditions (e.g., dry, level ground).

  • Proper Gear: You are responsible for ensuring that all Athlete Members utilize appropriate protective equipment (e.g., helmets, pads, eyewear) commensurate with the sport and the nature of the training.

  • Adult Supervision: For Athlete Members who are minors, the Account Owner is responsible for ensuring adequate adult supervision during training to ensure the environment is safe, the equipment is used properly, and the Athlete Member is not overexerting themselves.

  • Assumption of Risk: By using the Service, you voluntarily assume all risks associated with athletic training and acknowledge that Drill Dragon is not liable for injuries resulting from the training environment, physical overexertion, or the act of training itself.

5.4 Limitation of Liability. To the maximum extent permitted by law, Drill Dragon and its affiliates shall not be liable for any indirect, incidental, special, or consequential damages resulting from your use or inability to use the Service. This includes, but is not limited to:

  • Loss of data or loss of athletic opportunity.

  • Personal injury or property damage resulting from the use of the Service or Hardware.

  • Hardware failure or data inaccuracies.

In no event shall Drill Dragon’s total liability exceed the amount paid by you for the Service in the twelve (12) months preceding the claim.

Section 6: Platform Integrity and Data Security

6.1 Third-Party Infrastructure. The E-Commerce Site is hosted and powered by Wix.com. While Drill Dragon strives for 100% uptime and a seamless commercial experience, you acknowledge and agree that the availability, performance, and stability of the E-Commerce Site are dependent on third-party infrastructure. Drill Dragon is not responsible or liable for

any service interruptions, outages, data delivery failures, or losses caused by Wix or other third-party service providers.

6.2 Prohibited Conduct. You are prohibited from violating or attempting to violate the security of the E-Commerce Site, including: (i) accessing data not intended for you or logging into a server or account which you are not authorized to access; (ii) attempting to probe, scan, or test the vulnerability of the system or network; (iii) interfering with service to any user, host, or network, including via means of submitting a virus, "flooding," or "crashing"; or (iv) using any engine, software, or tool (including spiders, robots, or AI) to navigate or search the E-Commerce Site other than the search agents provided by Drill Dragon.

6.3 Data Security and Breach Notification. Drill Dragon employs industry-standard administrative, physical, and technical safeguards to protect your commercial transactions and personal information on the E-Commerce Site.

  • Liability Limitation: No method of transmission over the internet is 100% secure. To the extent permitted by law, Drill Dragon is not liable for unauthorized access to your account or data resulting from factors beyond our direct control.

  • Security Breach: In the confirmed event of a security breach of the E-Commerce Site that results in the unauthorized acquisition of your private information (as defined by applicable law), Drill Dragon will provide notice to you in accordance with the timing and method requirements mandated by applicable state and federal laws.

Section 7: Billing, Renewals, and Cancellations

7.1 Membership Billing. By purchasing a Membership, you authorize Drill Dragon (or our third-party payment processor) to charge the Membership fee, plus any applicable taxes, to the payment method provided.  You are responsible for any applicable sales or use taxes.

  • Recurring Charges: Memberships are billed on a recurring basis (e.g., monthly or annually). Charges occur at the beginning of each billing cycle for each individual Membership purchased.

  • Price Adjustments: Drill Dragon reserves the right to adjust Membership pricing. Account Owners will be notified of any price changes via the email address associated with the Membership Account at least 30 days prior to the change taking effect.  Any price adjustment will apply beginning with the next billing cycle following the effective date of the change.

7.2 Automatic Renewal. To ensure uninterrupted access to the Training Platform and the preservation of training history, all Memberships are set to automatic renewal by default.

  • Renewal Terms: A Membership will automatically renew for the same duration as the initial term unless you cancel that specific Membership before the end of the current billing cycle.

  • Payment Failure: If a recurring charge fails, Drill Dragon will attempt to re-process the payment. If payment is not resolved within 7 days, the specific Membership status will change to "Inactive." Upon becoming Inactive, the assigned Athlete Member's ability to use the Training Platform and access their training and performance data will be suspended.

7.3 Cancellation and Data Preservation. You may cancel a Membership at any time via the Members Portal.

  • Effective Date: Cancellation takes effect at the end of the current paid billing cycle.

  • Access Suspension: Once a Membership is Inactive (due to cancellation or non-payment), the associated Athlete Member will lose all access to the Training Platform, including the ability to record new sessions and view past training and performance history.  Sensors will also cease to function.

  • Data Deletion Policy: Drill Dragon is not responsible for preserving an Athlete Member’s training and performance records, history, or analytics if that Athlete Member does not have at least one Active Membership assigned to them. Drill Dragon reserves the right to permanently delete all data associated with an Athlete Member after a period of not less than 45 days of Inactive status.  Account Owners and Athlete Members will receive notices via their registered email address prior to such permanent deletion; once deleted, training history and performance analytics cannot be recovered. Maintaining at least one Active Membership for an Athlete Member is the only way to guarantee the permanent preservation of that Athlete Member's historical training record.

  • Membership Continuity: Training history and performance data are tied to the Athlete Member profile. As long as an Athlete Member maintains at least one Active Membership (regardless of the specific Membership tier or sport type), Drill Dragon will preserve and provide access to that Athlete Member’s historical data.

7.4 Account Transition and Succession.

  • Transition to Account Owner: An Athlete Member who has reached the age where parental consent is no longer required by law may elect to become their own Account Owner.

  • Financial Responsibility: To complete this transition, the Athlete Member must establish their own Membership Account and provide new, valid billing and payment information in their own name. Subsequent billing cycles for all transferred Memberships will be charged to the new Account Owner’s payment method.

  • Membership Transfer: Upon successful transition, any Active Memberships currently assigned to the Athlete Member will transfer to the new Membership Account.

  • Data Transfer: Provided the transition is completed without a lapse in Active Membership status, the Athlete Member’s entire training history, performance records, and analytics will be maintained and transferred to the new Account Owner's control.

7.5 No Prorated Refunds. Drill Dragon does not provide prorated refunds or credits for any partial Membership periods or unused portions of a Membership term following cancellation or account transition.

7.6 Payment Disputes and Chargebacks. If you initiate a chargeback or otherwise dispute a valid Membership charge without first contacting Drill Dragon Support to seek resolution, Drill Dragon reserves the right to suspend or terminate the associated Membership and access to the Training Platform pending resolution of the dispute. Fraudulent or abusive chargebacks may result in permanent account termination.

Section 8: Intellectual Property

8.1 Ownership of Content. The E-Commerce Site and the Service, including all text, graphics, logos, button icons, images, audio clips, digital downloads, data compilations, drill architectures, and software, are the property of Drill Dragon or its content suppliers and are protected by United States and international copyright, trademark, and patent laws. The compilation of all content on this site is the exclusive property of Drill Dragon.

8.2 Trademarks. "Drill Dragon," the Drill Dragon logo, and other marks indicated on our site are trademarks or registered trademarks owned or licensed by Drill Dragon. Our trademarks and trade dress may not be used in connection with any product or service that is not Drill Dragon's, in any manner that is likely to cause confusion among customers, or in any manner that disparages or discredits Drill Dragon.

8.3 Limited License. Drill Dragon grants you a limited, non-exclusive, non-transferable, and revocable license to access and make personal use of the E-Commerce Site. This license does not include any resale or commercial use of this site or its contents; any collection and use of any product listings, descriptions, or prices; any derivative use of this site or its contents; or any use of data mining, robots, or similar data gathering and extraction tools.

8.4 Software and Firmware. While you may purchase and possess physical Hardware, all software and firmware embedded within such Hardware or provided via the Service are licensed, not sold, and remain intellectual property owned or licensed by Drill Dragon. You agree not to reverse engineer, decompile, disassemble, or attempt to derive the source code of any portion of the Hardware or Software.

8.5 Feedback and User Submissions. Drill Dragon welcomes your comments and suggestions regarding our Service, Hardware, and Products (as defined herein). By submitting any ideas, suggestions, drills, workouts, or performance metrics (collectively, "Feedback"), you agree to the following:

  • Ownership and Assignment: You acknowledge that all Feedback shall be the sole and exclusive property of Drill Dragon. You hereby irrevocably assign to Drill Dragon all right, title, and interest in and to such Feedback, including all intellectual property rights therein.

  • Non-Confidentiality: Feedback is not provided in confidence, and Drill Dragon is under no obligation of confidentiality regarding such submissions. We remain free to use, reproduce, or distribute the Feedback for any purpose without restriction.

  • No Compensation: Drill Dragon is under no obligation to provide compensation, royalties, or attribution for the use or incorporation of Feedback.

  • Waiver of Moral Rights: To the extent permitted by law, you waive any "moral rights" regarding such Feedback.

Section 9: General Provisions

9.1 Governing Law and Jurisdiction. These Terms of Service and any dispute arising out of your use of the Service or Hardware shall be governed by and construed in accordance with the laws of the State of New York, United States, without regard to its conflict of law principles. For any matters not subject to arbitration as set forth in Section 8.2, you agree to submit to the personal and exclusive jurisdiction of the state and federal courts located within Westchester County, New York.

9.2 Dispute Resolution and Binding Arbitration.

Initial Resolution: In the event of any dispute, we encourage you to contact support@drilldragon.com to seek an amicable resolution.

  • Binding Arbitration: If a resolution cannot be reached within 30 days, you agree that any dispute or claim relating in any way to your use of the Service or Hardware will be resolved by binding arbitration rather than in court, administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules.

  • Exceptions: You or Drill Dragon may assert claims in small claims court in Westchester County, New York, if the claims qualify. Additionally, both parties reserve the right to seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights.

  • Class Action Waiver: You and Drill Dragon agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

9.3 Severability. If any provision of these Terms is found to be unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from these Terms and shall not affect the validity and enforceability of any remaining provisions.

9.4 Force Majeure. Drill Dragon shall not be liable for any failure or delay in performance due to causes beyond our reasonable control, including but not limited to acts of God, war, riot, embargoes, acts of civil or military authorities, fire, floods, accidents, network infrastructure failures, or strikes.

9.5 Entire Agreement. These Terms, together with our Privacy Policy and EULA, constitute the entire agreement between you and Drill Dragon regarding the Service and Hardware. They supersede any prior agreements or communications, whether oral or written.

9.6 Modifications to Terms. Drill Dragon reserves the right to modify these Terms at any time. We will provide notice of significant changes by posting the updated Terms on our website or within the Members Portal. Your continued use of the Service after such changes constitutes your acceptance of the new Terms.

9.7 Notices and Communications. You consent to receive all agreements, notices, disclosures, and other communications electronically via the email address associated with your Membership Account.

9.8 Assignment. You may not assign or transfer these Terms of Service, or any rights or obligations hereunder, without the prior written consent of Drill Dragon. Drill Dragon may assign or transfer these Terms of Service, in whole or in part, without restriction, including in connection with a merger, acquisition, corporate reorganization, or sale of assets.
